Vendor Terms and Conditions
Welcome to ZiGoo! Zigoo Deals brand is powered by Thai Green Power Solution India Private Limited., and as a vendor on our platform, you agree to comply with the following Terms and Conditions. These terms govern your relationship with ZiGoo, your responsibilities as a seller, and the policies you must adhere to while selling your products on our platform. Please read them carefully before listing your products.
1. Acceptance of Terms
By registering as a vendor on ZiGoo, you agree to be bound by these Vendor Terms and Conditions, our Privacy Policy, and any other policies outlined on our platform. If you do not agree to these terms, you may not use the platform as a vendor.
- What This Means: By accepting these terms, you enter into a legal agreement with ZiGoo to sell your products in compliance with the rules outlined below. We reserve the right to update or amend these terms at any time. Continued use of the platform signifies your acceptance of any changes.
2. Vendor Account and Responsibilities
To sell on ZiGoo, you are required to create a vendor account and provide accurate, current, and complete information about your business, including payment and tax details.
- Account Security: You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
- Vendor Obligations: As a vendor, you are responsible for managing your product listings, inventory, pricing, shipping, returns, and customer service. You agree to provide high-quality products, accurate descriptions, and prompt service to ZiGoo customers.
3. Product Listings
Vendors are responsible for the accuracy and legality of their product listings. All product descriptions, images, pricing, and availability should be truthful and up-to-date.
- Prohibited Products: Vendors are not allowed to list any illegal, counterfeit, stolen, or prohibited items, including products that violate intellectual property rights or local regulations. ZiGoo reserves the right to remove listings that violate these rules.
- Listing Accuracy: Ensure that your product titles, descriptions, and images accurately represent the products being sold. Misleading listings may result in penalties, account suspension, or termination.
4. Pricing and Payment
Vendors set their own prices for the products they sell on ZiGoo. All prices should be clearly stated in the applicable currency (e.g., Thai Baht) and inclusive of any applicable taxes, such as VAT.
- Commissions and Fees: ZiGoo will charge a commission on each sale, which will be deducted from the final payout to the vendor. The commission rate will be agreed upon when you sign up as a vendor. Any other platform fees (such as listing fees or promotional costs) will be clearly outlined.
- Payment Processing: Payments for sales will be processed by ZiGoo’s payment gateway. Vendors will receive their earnings, minus any applicable fees and commissions, within 15 days after delivery confirmation.
5. Shipping and Fulfillment
Vendors are responsible for fulfilling and shipping their orders within the timeframes specified in their product listings.
- Shipping Costs: Vendors may either charge customers for shipping or offer free shipping at their discretion. Shipping rates should be clearly displayed on the product page.
- Fulfillment Timeframe: You must process and ship orders within 2 business days after receiving the order. Failure to meet shipping deadlines may result in penalties or customer refunds.
- Tracking Information: You must provide tracking information to both ZiGoo and the customer once an order has been shipped.
- International Shipping: If you offer international shipping, you are responsible for compliance with customs regulations and ensuring that your products can legally be shipped to the destination country.
6. Returns, Refunds, and Cancellations
Vendors are required to adhere to ZiGoo’s Return and Refund Policy. Handling customer returns, refunds, and cancellations must be done in a timely and professional manner.
- Return Eligibility: If a customer requests a return within the stipulated 7-day return window, you are responsible for reviewing and processing the return. Products must be returned in their original condition. ZiGoo will notify you of the return request and send the returned product to you for inspection.
- Refund Processing: Once the returned item is received by you and confirmed to be in its original condition, you are required to notify ZiGoo. The refund will then be processed. If you fail to confirm or issue a refund within the agreed timeline, ZiGoo reserves the right to process the refund on your behalf and deduct the amount from your future payouts.
- Order Cancellations: If a customer cancels an order before it has been shipped, you are required to cancel the order and issue a full refund. Failure to do so may result in penalties or suspension of your account.
- Payment Release: Payment for completed orders will be released 15 days after the product has been delivered to the customer. This ensures sufficient time for the customer to process any potential return or refund requests.
7. Intellectual Property
As a vendor, you agree to respect the intellectual property rights of ZiGoo and third parties.
- Your Content: You represent that you own or have the rights to use the product images, descriptions, and other content you upload to ZiGoo. You grant ZiGoo a non-exclusive, worldwide, royalty-free license to use, modify, and display this content for promotional and operational purposes.
- Prohibited Content: You may not upload content that infringes on any intellectual property rights, including trademarks, copyrights, or patents. Any such content may be removed, and repeated violations may result in account termination.
8. Customer Service and Communication
Vendors are expected to provide prompt and courteous customer service. You agree to respond to customer inquiries, complaints, and disputes in a timely manner.
- Customer Issues: If a customer contacts you with an issue related to your product or delivery, you must make every effort to resolve it in a professional manner.
- Communication Channels: All communication with customers should be done through ZiGoo’s messaging platform, unless otherwise agreed. Direct communication outside of ZiGoo is prohibited unless explicitly authorized by us.
9. Vendor Conduct and Prohibited Activities
ZiGoo expects all vendors to operate ethically and in compliance with applicable laws.
- Prohibited Activities:Vendors are prohibited from engaging in fraudulent activities, such as artificially inflating sales, manipulating product reviews, or providing false information.
- Vendor Ratings: Vendors will receive ratings and reviews from customers based on their service and product quality. Poor performance or repeated negative reviews may result in warnings, penalties, or removal from the platform.
- Compliance with Laws: You agree to comply with all applicable laws and regulations regarding the sale of products, including those related to consumer protection, product safety, and data privacy.
10. Suspension or Termination of Account
ZiGoo reserves the right to suspend or terminate your vendor account at its sole discretion. Reasons for suspension or termination may include:
- Violations of these Vendor Terms and Conditions.
- Fraudulent activity or illegal behavior.
- Failure to fulfill orders or provide satisfactory customer service.
- Repeated negative reviews or poor performance.
- Engaging in activities that harm the reputation of ZiGoo or its customers.
If your account is suspended or terminated, you will no longer be able to sell on ZiGoo, and any outstanding balances owed to you will be withheld until any disputes or claims are resolved.
11. Limitation of Liability
ZiGoo is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the platform as a vendor. This includes, but is not limited to:
- Loss of sales, revenue, or profits.
- Damage to your business reputation or goodwill.
- Errors, bugs, or interruptions on the ZiGoo website.
- Issues with shipping carriers or payment processing.
ZiGoo provides the platform "as is" without any warranties. You agree that your use of the platform is at your own risk.
12. Governing Law and Dispute Resolution
These Vendor Terms and Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand.
- Jurisdiction: Any disputes arising from these terms will be resolved in the courts of Thailand.
- Dispute Resolution: If a dispute arises between ZiGoo and the vendor, both parties agree to first attempt to resolve the matter informally before pursuing legal action. If a resolution cannot be reached, the parties may submit the dispute to mediation or arbitration.
13. Changes to Terms
ZiGoo reserves the right to modify or update these Vendor Terms and Conditions at any time. Changes will take effect immediately upon posting on the platform.
- Notification of Changes: It is your responsibility to review these terms periodically. Continued use of the platform as a vendor after any changes indicates your acceptance of the updated terms.
ZiGoo provides the platform "as is" without any warranties. You agree that your use of the platform is at your own risk.
